Institution Subscription Agreement

1. License Grant

Subject to the terms and conditions of this Agreement and the payment of all applicable Subscription Fees, GrowGrader grants the Institution a limited, non-exclusive, non-transferable, and revocable license to access and use the Platform during the Subscription Term for internal educational evaluation and recruitment purposes.

2. Subscription Fees & Payment Terms

• Standard Pricing: The standard annual subscription fee per Institution/Department is ₹75,000 (INR). Custom enterprise tiers exceeding standard student/API limits will be negotiated in a separate Order Form.
• Payment Obligation: All fees are payable upfront via our designated payment gateway (Instamojo) or via direct bank transfer (NEFT/RTGS) within Net-30 days of the invoice date.
• Non-Refundable: As stated in our Refund Policy, all B2B subscription fees are strictly non-refundable once the Platform instances have been provisioned and AI API access has been granted.

3. Institution Responsibilities

The Institution shall be responsible for:

• Ensuring that all Faculty and Staff accounts comply with our Acceptable Use Policy.
• Obtaining any necessary consent from Students (under applicable local laws, such as the Digital Personal Data Protection Act, 2023 in India) before requiring them to create accounts and submit Personal Data to the Platform.
• Maintaining the confidentiality of administrator credentials.

4. Data Ownership & Portability

Institution Data: The Institution retains all right, title, and interest in the specific evaluation rubrics, custom task prompts, and internal grading metrics they upload to the Platform.

Student Data: At the termination of the Subscription Term, the Institution may request an export of their specific cohort's assessment data. GrowGrader will provide this export in a standard CSV/JSON format within 30 days of the request, after which the data may be anonymized or deleted from our active databases in accordance with our Data Retention Policy.

5. Confidentiality

Both parties agree to hold each other's Confidential Information in strict confidence. "Confidential Information" includes the proprietary AI evaluation rubrics of GrowGrader, the underlying source code of the Platform, and the non-public student data of the Institution. Neither party shall disclose Confidential Information to any third party except as strictly necessary to fulfill the obligations of this Agreement or as required by law.
